Welcome to CLOUDCHRONICLE. These Terms of Service ("Terms") govern your access to and use of CLOUDCHRONICLE's cloud accounting software, website, and related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing or using CLOUDCHRONICLE, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

CLOUDCHRONICLE provides AI-powered cloud accounting software that includes:

• Automated bookkeeping and transaction categorization
• Invoicing and accounts receivable management
• Expense tracking and management
• Financial reporting and analytics
• Bank account connections and reconciliation
• Multi-currency support
• Team collaboration features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

3.1 Account Creation

To use CLOUDCHRONICLE, you must create an account. You agree to:

• Provide accurate, complete, and current information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Requirements

You must be at least 18 years old and capable of entering into a binding contract to use CLOUDCHRONICLE. Business accounts must be registered by authorized representatives.

4. Subscription and Payments

4.1 Plans and Pricing

CLOUDCHRONICLE offers various subscription plans as described on our pricing page. Prices are subject to change with 30 days' notice for existing subscribers.

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated
• You authorize us to charge your payment method for all fees
• Failed payments may result in service suspension

4.3 Free Trial

We may offer a free trial period. At the end of the trial, you will be automatically enrolled in your selected paid plan unless you cancel before the trial ends.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to transmit spam or unsolicited communications
• Impersonate any person or entity
• Use automated means to access the Service without permission
• Share your account credentials with others
• Use the Service to store or process data that violates third-party rights

6. Your Data

You retain all rights to your data. By using CLOUDCHRONICLE, you grant us a limited license to use your data solely to provide and improve the Service.

6.2 Data Accuracy

You are responsible for the accuracy and completeness of data you enter. CLOUDCHRONICLE's AI features are designed to assist, not replace, professional judgment. Always verify important financial information.

6.3 Backups

While we maintain regular backups, you are encouraged to export your data periodically. We are not liable for any data loss.

7. Intellectual Property

CLOUDCHRONICLE, including its software, design, logos, and content, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

7.2 Feedback

If you provide suggestions or feedback about the Service, we may use it without obligation to you.

8. Third-Party Services

CLOUDCHRONICLE integrates with third-party services (banks, payment processors, etc.). Your use of these integrations is subject to their respective terms. We are not responsible for third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY OF AI-GENERATED INSIGHTS

CLOUDCHRONICLE is not a substitute for professional accounting or tax advice. You should consult with qualified professionals for financial decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDCHRONICLE SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL
• ANY DAMAGES EXCEEDING THE FEES PAID BY YOU IN THE PAST 12 MONTHS

11. Indemnification

You agree to indemnify and hold harmless CLOUDCHRONICLE, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your data or content

12. Termination

We may suspend or terminate your access to the Service if:

• Your account is inactive for an extended period
• We are required to do so by law
• We discontinue the Service

Upon termination, you may export your data for 30 days. After that, your data will be deleted according to our retention policy.

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

13.2 Arbitration

Any disputes shall be resolved through binding arbitration in San Francisco, California, except that either party may seek injunctive relief in court for intellectual property matters.

• Entire Agreement: These Terms constitute the entire agreement between you and CLOUDCHRONICLE.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
